Katherine's practice focuses on advising on complex commercial contracting matters, including software, software-as-a-service and other information technology agreements, master services agreements and virtual power purchasing agreements.

Katherine has experience advising clients in connection with:

  • privacy and data protection law compliance, including with respect to transactions, cloud computing/outsourcing arrangements, information technology and data breach management
  • outsourcing arrangements and other commercial agreements, including complex information technology agreements
  • mergers and acquisitions
  • Canada’s anti-spam legislation (CASL) compliance
  • advertising, marketing and sponsorship

Katherine has authored and contributed to various publications regarding privacy, cybersecurity and technology law matters.

Experience

  • Aimia Loyalty Solutions in its merger with Kognitiv Corporation to form a technology-forward loyalty solutions provider.
  • IFS in its acquisition of Clevest Solutions Inc., a provider of mobile workforce management and advanced network deployment solutions in the utilities vertical.
  • Advises clients on compliance with privacy and data protection laws, including in the transactional, cloud computing, outsourcing, information technology and electronic marketing contexts.
  • Assists clients with preparing privacy policies and related documents, including online privacy policies, data breach response procedures and other internal organizational policies and procedures.
  • Advises clients on complex commercial agreements, including the negotiation and drafting of a master services agreement for information technology services on behalf of a national credit union and a provincial utilities organization.
  • Advises domestic and international clients on data breaches involving several Canadian jurisdictions, including for an international technology company, an international hotel chain and a global company in the context of a global privacy breach.
  • Advises and assists share and asset sale transactions as counsel for vendors and purchasers, including a Fortune 100 technology company in multiple acquisitions of intellectual property assets.
  • Advises clients on a wide range of general corporate matters.
  • Assisted in the closing for the Edmonton Valley Line P3 transaction.
  • Assisted with BC Hydro Site C procurement matters.
